Product development and manufacturing companies fall into three groups: firms that design but do not build, firms that build but do not design, and firms that do both. The label a company uses tells you which group it belongs to, and that decides who is responsible for whether your product actually works. Most of this vocabulary is industry convention rather than legal definition, so two companies can use the same three letters and sell you very different things.

Why these labels decide what you get
Most of these terms have no statutory or standards-body definition. A few do. US defense acquisition regulation defines “original equipment manufacturer” and “contract manufacturer” for its own procurement purposes, and Congress defined “invention promoter” by statute in the American Inventors Protection Act of 1999 after documented fraud against inventors. Outside those narrow contexts the vocabulary is convention, and a regulatory definition written for defense procurement does not bind how a commercial vendor uses the same three letters.
The US government does classify the industries, even where it leaves the acronyms alone. NAICS separates industrial design services (541420) from engineering services (541330), and each definition explicitly excludes the other.
Three questions separate every company on this page:
- Does it produce a design, or consume one? A design house generates the drawings. A factory needs them handed over.
- Who owns the result? Some models hand you full ownership of the design. Others license you a base design the vendor also sells to your competitors.
- Who is accountable when the product fails test? This is the question that costs money, and it is rarely on the marketing page.
Companies that design
Design-side firms produce documentation. Their deliverable is a set of files, drawings, schematics and specifications precise enough for someone else to manufacture from. They do not own a factory.
Product development firm or engineering services organization
A product development firm converts a requirement into a working, manufacturable design. The Product Development and Management Association calls the external version a “contract developer”: an external provider of product development services. The scope covers mechanical engineering, electronics, firmware, and the design for manufacture work that makes a design producible at volume.
What you typically receive at the end of an engagement:
- Mechanical CAD, drawings with tolerances, and material specifications
- Schematics, PCB layout, and a bill of materials
- Firmware source and build artifacts
- Test reports from engineering and design validation builds
- A documentation package a factory can quote against
“Engineering services organization” and “ESO” appear on vendor sites, though no association or agency defines the term. Treat it as marketing for the same thing.
Industrial design studio
An industrial design studio owns form, ergonomics, and the color, material and finish of a product. The Census definition of the industry lists the studio’s concerns as materials, construction, mechanisms, shape, color and surface finishes, weighed against human needs, safety and market appeal.
An engagement usually ends with renders, control drawings, appearance models and a CMF specification, not with working electronics or a tool-ready part. Companies that build
Build-side firms consume documentation. They quote against the files you supply, and they measure the output against the criteria in those files. Their standards say so explicitly. IPC standards, published by the standards body now operating as the Global Electronics Association, repeatedly fall back on a formal escape hatch abbreviated AABUS: “as agreed between user and supplier.” Silence in your documentation is not a default. It is a gap someone will fill in a way you did not choose.
EMS, CEM, and CM
An electronics manufacturing services provider builds electronic products to your documentation. It handles procurement, PCB assembly, box build, test and often logistics. “CEM,” contract electronics manufacturer, is the older term the industry largely replaced with EMS as providers expanded past assembly into sourcing and supply chain work. “Contract manufacturer” is broader and covers non-electronic goods too; the clearest government-adjacent definition sits in US defense acquisition regulation, which describes a contract manufacturer as a company that produces goods under contract for another company under that company’s brand name.
Scale here is easy to underestimate. Manufacturing Market Insider put combined 2024 assembly revenue for the top 50 EMS companies worldwide at $477 billion, the most recent full-year figures published, with the top ten holding roughly 88% of it. Rapid prototyping and fab shops
A rapid prototyping shop makes parts to print. It runs CNC machines, additive processes, and quick-turn board fabrication and assembly, and it builds exactly what your files specify. NAICS classifies machine shops as establishments machining parts “on a job or order basis,” which is the classification system’s own way of saying make-to-print.
Responsibility sits with you. ISO/ASTM 52901, the standard covering purchased additive manufacturing parts, sets out what customer and supplier exchange at order time: part definition data, feedstock, the required final characteristics, inspection requirements and acceptance methods. Companies that design and build
These models combine both sides under one contract. The differences between them come down to who owned the design at the start and who owns it at the end.

OEM
“OEM” means two opposite things depending on who is speaking. US defense acquisition regulation defines an original equipment manufacturer as a company that manufactures products it designed, from purchased components, and sells them under its own brand name. In contract manufacturing and EMS trade usage, the OEM is the brand owner and the customer, the party that owns the intellectual property and buys finished goods. Under the second usage, a company called an “original equipment manufacturer” often manufactures nothing at all.

ODM
An original design manufacturer owns a design already and adapts it for your brand. The model is fast and cheap at the front end because the engineering is amortized across every brand that licenses the same base design. Two consequences follow. The vendor typically retains the intellectual property in the underlying design, and the vendor may sell closely related products of its own. JDM
Joint design manufacture describes a shared arrangement where a supplier contributes design work to a customer’s product. Ownership of the resulting intellectual property is the weak point. The design emerges from contributions on both sides, so who owns what is settled by the contract rather than by the model, and it is often left ambiguous. That is a contractual question rather than a technical one, and it is worth putting in front of an attorney before the first engineering hour is billed.
Vertically integrated concept to production
A vertically integrated firm carries a product from concept through to production inside one organization, with the mechanical, electronic, firmware and manufacturing engineering work under a single management chain. No standards body defines this as a firm type; it describes an operating structure rather than a category.
The practical argument for it is handoff risk. Every transfer between vendors creates a document package that has to be complete and a boundary where accountability can be disputed. Fewer boundaries mean fewer places for that to happen. The trade-off is dependence on one supplier’s competence across all disciplines rather than picking the best in each.
Companies defined by stage: NPD and NPI
Two acronyms describe where in the lifecycle a firm operates rather than what it is.
NPD, new product development, is defined by the PDMA as the overall process of strategy, organization, concept generation, product and marketing plan creation, evaluation and commercialization of a new product. A company that sells “NPD services” is selling process management across that whole arc. The dominant framework is stage-gate, which divides the work into time-sequenced stages separated by management decision gates.
NPI, new product introduction, has two live meanings, and they sit at opposite ends of the project:

Ask which one a vendor means. An “NPI quote” from a factory and an “NPI plan” from a consultancy are describing different work.
The category to treat with caution, and how to tell what a company really is
Invention promotion companies are the one firm type with a federal statute attached. 35 U.S.C. 297 requires an invention promoter to disclose, in writing and before you sign, five specific items: how many inventions it evaluated in the past five years split into positive and negative evaluations, how many customers it contracted with, how many of those customers it knows made a net financial profit as a direct result of its services, how many obtained license agreements, and the names and addresses of every affiliated promotion company from the previous ten years. Customers injured by a material false statement or a failure to disclose may sue for actual damages, or for statutory damages of up to $5,000, and a court may increase that award by up to three times where it finds the promoter intentionally misrepresented or omitted a material fact.
The enforcement record is public. The Federal Trade Commission’s 2006 action against Davison & Associates ordered $26 million in consumer redress, and the agency stated that fewer than 1% of customers received royalties exceeding what they paid the promoter. A 2018 settlement banned the operators of World Patent Marketing from the invention promotion business and imposed a $25,987,192 judgment, partially suspended on payment of just over $1 million. That payment funded a 2020 distribution of more than $1 million to 5,503 consumers, roughly $185 each. The USPTO publishes complaints about invention promoters but does not investigate them, and the promoter gets 30 days to reply.
Questions that reveal what any company on this page actually is:
- What exactly is in the deliverable? Files and drawings mean a design firm. Parts and assemblies mean a build firm. Both means a combined model, and you should ask who owns the files.
- Do you own a factory, or do you subcontract? A design firm that subcontracts assembly is fine. A design firm that implies it owns the line is not.
- Whose design is the starting point? A vendor starting from an existing base design is running an ODM model, whatever it calls itself.
- Who signs off that the product meets spec? Get a name and a document, before contract.
- What happens at the first failed test? The answer describes the accountability boundary better than any capability deck.
- Are you asking me to pay for marketing before engineering? Front-loaded marketing fees on an unbuilt product are the pattern the FTC actions describe.
Get clear on what stage your idea is at before any of these conversations. A product feasibility analysis answers whether the thing can be built and sold at a profit, and it changes which category of company you should be calling. Frequently asked questions
What is the difference between an OEM and a contract manufacturer?
Under the defense acquisition definitions, an OEM designs the product and sells it under its own brand, and a contract manufacturer produces goods under contract for another company under that company’s brand. In EMS trade usage the OEM is instead the brand-owning customer of the contract manufacturer. Ask which sense the speaker means.
Do I need a design firm and a manufacturer, or can one company do both?
Both routes are common. Two vendors let you pick specialists but create a documentation handoff that has to be complete. One vendor removes the handoff and concentrates your dependence. The choice usually turns on how much technical oversight you can personally provide.
Which type of company is cheapest?
ODM work is usually cheapest at the front end because the engineering already exists. Custom development from scratch costs the most upfront and gives you a design you own. Published cost figures vary widely by product category, so treat any single number with suspicion and get itemized quotes. What does NPI stand for, and does everyone mean the same thing?
NPI stands for new product introduction. Product management literature uses it for the launch itself. Factories use it for the design-to-production transfer that happens before launch. The two meanings are both in daily use, so confirm the scope in writing.
Is an ODM a bad choice?
No. The ODM model is a legitimate route to a shipping product and is often the fastest. The trade-offs are differentiation and ownership, and those are commercial questions rather than quality ones. Contract terms around IP ownership and exclusivity should be reviewed by an attorney.
